Indemnification
You agree to defend, indemnify and hold URGE FITNESS harmless from and against any and all claims, damages, costs, and expenses, including attorneys’ fees, arising from or related to your use of the site.

Personal Training and Classes:

Personal Training Sessions and Classes are nonrefundable and nontransferable. If an URGE FITNESS staff member is terminated or otherwise ends their employment at URGE FITNESS, another URGE FITNESS staff member will complete sessions and refunds will not be granted. This is an agreement with URGE FITNESS and NOT with a specific trainer. 
URGE FITNESS reserves the right to continue your service with a different coach on staff at any time for any reason. All sessions and packages will expire within 31 days of purchase. Personal Training Sessions and Classes require a 24­hour cancellation or rescheduling. Neglect to cancel or reschedule 24 hours in advance of booked sessions or classes forfeits the session.

Cancellation Policy:

You are entitled to a copy of this contract at the time you sign it. You may cancel this contract at any time before midnight of the third operating day after receiving a copy of this contract. If you choose to cancel this contract, in addition to all terms and conditions in Section 1.9 “Cancellation Policies”, you must take any of the following actions: 1. Send a signed and dated written notice of cancellation by regular registered or certified mail, return receipt requested to the location you enrolled at; or 2. Personally hand-deliver to an authorized club representative or club manager a signed and dated written notice of cancellation to your home club you enrolled at.  Hand-delivered requests may be submitted Monday-Friday 9am-5pm, excluding holidays and inclement weather in which the club may have adjusted operating hours. Hand-delivered requests must be submitted to an authorized club representative or manager. Upon receiving and verifying the request, the authorized club representative or club manager will provide the member with a digital email receipt of cancellation.  Registered or Certified mail is encouraged and suggested for the members safety and security, and to ensure the request is expedited. If member chooses to submit a request in person, please note we are a high-volume club, and the member may have to wait an extended period of time for an authorized club representative or manager to be available. 3. (NEW JERSEY CLUB RESIDENTS ONLY) Personally place a telephone call to the health club facility. Telephone requests may be submitted Monday-Friday 9am-5pm, excluding holidays and inclement weather in which the club may have adjusted operating hours. Telephone requests will immediately be provided with an email digital receipt of cancellation 4. (NEW JERSEY CLUB RESIDENTS ONLY) If you entered into the contract online, use the direct link on the health club facility’s Internet website by CLICKING HERE 

Email, text message, or any other form of communication not clearly outlined above is NOT a valid method of cancellation.

Any free months of membership, free classes or training sessions, or other promotional offers are a club courtesy and outside of the agreement terms. Upon submitting a valid request to cancel, any courtesy promotional items are forfeited.  Your account must be current before any cancellation will take effect. If the initial term of your recurring dues membership is one month or less; or the initial term has ended and you have not provided written notice of cancellation at least 60 days prior to the end of the initial term, your membership is considered “month-to-month”. You may cancel your month-to-month membership at any time with written notice given 60 days in advance of your next recurring dues billing period. Financed memberships (monthly or weekly) require automatic billing and automatically renew to a month-to-month agreement at end of the original term. If automatic payment is stopped or if member requests to stop the automatic renewal terms, the account must convert to a “Paid In Full” agreement. Member agrees to have the remaining balance(s) fully paid to date prior to stopping automatic renewal and conversion to a Paid In Full account.  

Upon receipt of a cancellation request or request to stop automatic renewal terms, any payments owed in the initial term agreement will be collected within 48 hours of submitting a written request to cancel. Member is responsible for any fees/addons due while the account is pending cancellation. The balance of any addons due under this account will draft off the card on file within 48 hours of submitting a written request to cancel or request to stop automatic renewal terms. 

All accounts require a 60-day notice to cancel, once the initial term agreement has been completed. Your account must remain current during a 60-day notice for the account to cancel. If ANY payment rejects during a 60-day request, your agreement will not cancel. All payments including but not limited to; Dues, Addons, late fees, returned item fees, manual billing fees, etc will continue to accrue and you will be responsible for all payments prior to the account cancelling. Account will NOT cancel if there is a past due balance. 

Membership Freeze Policy: 

(a) Medical. If Member is medically unable to use the URGE Fitness facilities, Member may request a freeze of his or her membership in monthly increments for a minimum of 1 month and a maximum of 3 months per year. Members must provide a doctor’s note at the time of requesting a freeze. URGE FITNESS reserves the right to verify the note with the doctor and Member agrees to waive any Doctor/ Patient privilege and execute any release required by such doctor solely with regards to the medical reasons stated in the doctor’s note for the medical freeze. (b) Non-medical, if a Member desires to freeze his or her account for a non-medical reason, Member should consult with Member’s URGE FITNESS facility and there will be a $10 freeze fee per month if the freeze is approved, plus any Add-On/Personal Training component as described below. Urge fITNESS also reserves the right to deny any freezes for any reason whatsoever. URGE FITNESS reserves the right to adjust this freeze policy from time to time at its sole discretion. Freezing time on your membership does not stop your membership payments. You are still liable for your original payment schedule. Once you resume any usage of the CLUB, the freeze will terminate. The time period of any freeze will be credited to the end of your membership’s original term. Freezes do not apply to Personal Training agreements or the Personal Training portion of membership that is included in it. If your membership includes Personal Training, your freeze fee will include the amount owed for Personal Training each month. Sessions will be banked and ready to use when membership resumes. All requests must be received at least fourteen (14) days prior to Member’s next billing date. Retroactive freezes will not be accepted. Certain fees may apply to any freeze of a Member’s membership. Freeze requests may be submitted either by 1. Send a signed and dated written notice by registered or certified mail, return receipt requested to the location you enrolled at; or 2. Personally hand-deliver a signed and dated written notice to the location you enrolled at. Hand-delivered requests may be submitted Monday-Friday 9 am-5 pm, excluding holidays and inclement weather in which the club may have adjusted operating hours. Hand-delivered requests will be provided with a digital receipt of confirmation.

Promotions and Offers:

Free months are awarded with the purchase of a personal training program. 1st-time memberships only. Must be awarded at the time of sign-up. The membership agreement must state the offer dates. The training agreement must remain current otherwise membership dues will be collected in full.  Account must be current and not pending cancellation. 
Free sessions or classes may be offered to members to allow to try out amenities before purchasing. These free sessions/classes are a courtesy and can be revoked at any time, for any reason, and are not guaranteed. Fees, promotions, free trials and amenities may vary by club. Promotions and monthly/weekly drafting financed memberships require automatic billing to redeem offers. Contact desired club for specific details. Restrictions apply, certain promotions at participating locations only.

Early enrollment for new clubs under construction:

As a reward for joining a new facility not opened yet, all Premium and above level memberships will receive complimentary use of any of our open facilities based on their commitment to their membership once the new club opens. Members will have the same membership access based on the level of membership they signed up for, including 24/7 365 access, group classes, etc. If the membership is canceled during construction or before the membership agreement term is satisfied, the member will be charged their monthly dues for the number of months they used other locations. If a member does not use other URGE clubs during construction, the member will not be liable for any prepaid dues, and a full refund will be processed upon canceling. 

 Per the signed agreement, the Buyer may cancel the agreement if the facility is not open for business by a specified date (*refer to your signed agreement for the exact date). If this date passes, the Buyer may cancel the agreement and receive a refund of the dues paid. If the Buyer chooses to do so prior to the facility opening, they may send a certified letter requesting to cancel. Upon the club opening, any certified mail requests will be processed and the member sent a digital receipt via the email address on file. The Buyer may also visit the club in person within the first 30 days of the facility opening to submit a cancellation request.  Hand-delivered requests may be submitted Monday-Friday 9 am-5 pm, excluding holidays and inclement weather in which the club may have adjusted operating hours. Hand-delivered requests will be provided with a digital receipt of cancellation. If the Member uses the facility, the full balance of the agreement is valid and the member is no longer eligible for Buyers- Remorse cancellation.

TERMS FOR THOSE ELIGIBLE FOR FREE MEMBERSHIP: 

At participating locations only. New facilities do not participate in this program for the first 365 days the facility is open. Member must refer 5 new membership accounts in a calendar month. Discounted promotional rates do not count towards referrals. PRIOR to each referral enrolling, member must add the referral on their club account for tracking. Members may enter referrals using the followingReferral Link Member must be present at the time of the new membership referrals enrollment, a picture taken by URGE FITNESS staff, and posted to URGE FITNESS’ social media pages. All referrals must remain active and current for 120 days for member to be eligible for free membership for life. All 5 new membership accounts must be term, 12month agreements to count towards referral. If you become eligible, the financial terms on the first page of your contract(s) will apply. If the terms on the 1st page of your contract(s) do not reflect $0 per month you ARE NOT ELIGIBLE. You must maintain a valid Credit, Debit, or Checking account on file. If the payment method is removed or becomes invalid, free membership shall terminate, and the original membership price will be charged. Free membership is only valid and recognized at participating locations. Includes Premium membership for YOU ONLY. You will still be responsible for any add-ons, personal training, or anything above and beyond your basic access membership. It cannot be transferred. Has no monetary VALUE. If inactive for 365 days, free membership shall terminate. If additional add-ons or higher membership has a current balance left on agreement, that balance must be satisfied. If the home club closes for any reason this membership will terminate. URGE FITNESS can terminate this membership at any time with or without cause.

 GROUP EXERCISE POLICIES:

Each class is limited to a set number of participants. Members should not enter a class late without the instructor’s consent. No one will be admitted ten (10) minutes after the scheduled class time. If Member is just starting a group fitness program or has an injury, prenatal conditions, or problem that may prevent full participation, please discuss this with the group fitness instructor at least five (5) minutes before class. Proper clothing and footwear must be worn in all group fitness classes. URGE FITNESS reserves the right to change the group fitness schedule at any time including the addition or deletion of classes, as well as changes in instructors, class times, and length of classes. URGE Fitness reserves the right to change group fitness policies when necessary and require advanced reservations for heavily attended classes. If members register for a class and do not attend without canceling their reservation, member may have the privilege of pre-registering revoked for a period of time determined by URGE FITNESS. Reservations may be released within five (5) minutes prior to the scheduled class time and Member may enter on a walk-in basis provided there are openings in the class. Members attending a class shall, in addition to the Terms and Conditions, follow any rules promulgated by such class’ instructors.

 CHANGES TO THESE TERMS OF USE: 

We reserve the right to modify or amend these Terms of Use without notice at any time. The latest Terms of Use will be accessible through the Application and posted on the Site, and you should always review these Terms of Use prior to using the Services to ensure that you have a current understanding of the Terms of Use under which you are permitted to access the Services. If we make material modifications or amendments to these Terms of Use, we will notify you by reasonable means which could include notification through the Services or by direct communication to you via email or your account. Use by you of the Services following any modifications or amendments to these Terms of Use shall signify your acceptance of such modifications or amendments.
